Terms of Service

These terms govern your use of Deskwise. Plain English where possible, precise where it has to be.

Effective date: May 20, 2026

01.Agreement to Terms

These Terms of Service (the “Terms”) are a binding agreement between Vellor Systems LLC, a Wyoming limited liability company (“Deskwise,” “we,” “us,” or “our”), and the business or person subscribing to Deskwise (the “Operator,” “you,” or “your”). By creating an account, accessing, or using Deskwise, you agree to these Terms and to our Privacy Policy and AI & Recording Disclosure. If you do not agree, do not use Deskwise.

If you are using Deskwise on behalf of an organization, you represent that you are authorized to bind that organization, and “Operator” refers to that organization.

02.Definitions

  • Deskwise or the Service— the AI voice receptionist platform operated by Vellor Systems LLC at deskwise.co, including all related software, dashboards, APIs, telephony, and integrations.
  • Operator— the business that subscribes to Deskwise and uses it to answer inbound calls.
  • Caller— an end customer or third party who places a phone call to a number provisioned through Deskwise or forwarded into Deskwise by the Operator.
  • Content— any data processed by the Service, including caller phone numbers, names, spoken content, transcripts, recordings (if enabled), contact records, and appointment data.

03.Account Registration

To use Deskwise you must (a) be at least 18 years old, (b) be a business or representative of a business located in and operating from the United States, and (c) provide accurate, current information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us at contact@vellor-systems.com if you suspect any unauthorized access.

04.Subscription & Billing

Deskwise is offered on a monthly recurring subscription basis. Subscription fees are charged in advance for each billing period and automatically renew at the start of each new period until canceled. Pricing is published at /pricing and may include usage-based charges (for example, per-minute voice time or telephony pass-through). All payments are processed by Stripe; Deskwise does not store full payment card numbers. Applicable sales, use, or telecommunications taxes may be added.

05.Cancellation & Refunds

Deskwise subscriptions are month-to-monthand may be canceled at any time from your billing portal. Cancellation takes effect at the end of the current billing period — you retain access through that date, and we do not issue refunds or credits for partial months. We do not currently offer annual prepayment plans; if you are billed annually under a special agreement, refund terms will be set out in that agreement.

Non-refundable fees. The optional $200 BYO (bring-your-own) phone setup fee and any $200 follow-up support call fees are non-refundable under any circumstances, including where forwarding cannot be completed due to carrier restrictions or other causes outside our reasonable control. Pay-as-you-go usage charges already incurred (per-minute voice time, telephony pass-through, SMS) are also non-refundable.

Suspension for non-payment. If a charge fails, we will retry the payment and email the billing contact. After 7 days past the due date without payment, we may suspend or terminate the account.

06.Acceptable Use

You agree not to use Deskwise to:

  • Engage in any unlawful activity or facilitate illegal conduct.
  • Send unsolicited or harassing communications, or to violate the TCPA, CAN-SPAM Act, state telemarketing laws, or any do-not-call registry. SMS recipients must have given prior express written consent where required by law.
  • Threaten, harass, defraud, or impersonate any caller or third party.
  • Misrepresent your business, the goods or services you offer, or the identity of the entity on whose behalf calls are answered.
  • Scrape, reverse-engineer, decompile, or copy any part of the Service for the purpose of building a competing product.
  • Probe, scan, or test the vulnerability of the Service or circumvent any access controls or rate limits.
  • Upload or transmit malware, or use the Service to interfere with another party's systems.
  • Prohibited industries. Use Deskwise for any business primarily engaged in: firearms or ammunition sales; controlled-substance distribution; adult entertainment or sexual services; gambling outside licensed jurisdictions; multi-level marketing; debt collection in violation of the FDCPA; payday lending; or any activity that would cause material reputational harm to Deskwise. Healthcare and other regulated industries are permitted under a signed BAA or industry-appropriate agreement.
  • Not a 911 / emergency service. The Service is a scheduling and customer-communication tool. It is not an interconnected VoIP 911 service, a life-safety monitoring system, an emergency dispatch service, or a medical-device control system. Do not rely on Deskwise to summon police, fire, medical, or any other emergency assistance. Callers with an emergency must hang up and dial 911 (or their local equivalent) from a separate device. You must not market or represent the Service as capable of receiving or escalating emergency calls. See also Section 9 (Call Recording & Emergency Services).

Violations may result in immediate suspension or termination without refund.

07.Operator Responsibilities

You, the Operator, are responsible for how Deskwise is used in your business. Specifically, you agree to:

  • Disclose AI to callers where required by the laws of any jurisdiction in which you operate or in which your callers are located. Deskwise provides tooling (including a default first-message disclosure) but ultimate responsibility for legally sufficient disclosure rests with you.
  • Comply with call-recording laws. If you enable recording, you must ensure callers receive any notice required by applicable one-party or two-party consent laws. Two-party consent states currently include California, Florida, Illinois, Maryland, Massachusetts, Montana, Nevada, New Hampshire, Pennsylvania, and Washington.
  • Obtain any other consents required to receive calls, send SMS or email, and process caller data.
  • HIPAA. If you handle Protected Health Information (PHI), you must request and execute a Business Associate Agreement (BAA) with us by emailing contact@vellor-systems.com before using PHI-related features. We will not knowingly process PHI without a BAA in place.
  • Provide accurate business information and use the Service for lawful business purposes only.

08.AI-Generated Content

Deskwise uses large language models and voice AI from third-party providers (including Anthropic and OpenAI) to answer calls on behalf of Operators. The output of an AI voice agent can contain errors, omissions, or hallucinations. You acknowledge that:

  • You are responsible for reviewing, supervising, and correcting AI output, including appointment details, quotes, and statements made to callers.
  • Deskwise is not liable for damages caused by an AI hallucination, misstatement, scheduling error, or other AI-generated content, including statements that you did not separately verify before relying on them.
  • You will not represent that AI-generated content has been individually authored or reviewed by Deskwise.

09.Call Recording, Data & Emergency Services

Recording is disabled by default. You must take affirmative action in your settings to enable call audio recording for your Deskwise account. If you enable recording, you must ensure that callers are notified to the extent required by applicable one-party or two-party consent laws.

Deskwise stores call transcripts as a normal part of providing the Service (since the AI agent needs them to function) and, if you enable recording, stores the corresponding audio recordings. Both transcripts and recordings are treated as your data and are accessible to you through the dashboard and APIs, subject to the retention periods described in our Privacy Policy.

Emergency Services — 911 Disclaimer

Deskwise does not provide emergency calling or 911 services. Phone numbers provisioned through Deskwise (whether resold via Vapi, Twilio, or any other carrier) are for inbound, AI-handled business communication only. The AI agent cannot summon police, fire, medical, or any other emergency response and will not transcribe, escalate, or act on calls that appear to be emergencies beyond instructing the caller to hang up and dial 911 from a separate device.

For numbers we provision through Vapi, Vapi is the carrier of record and handles any FCC-mandated E911 registration at the upstream-carrier level. For numbers you bring through your own Twilio (or other carrier) account, you are solely responsible for configuring E911 / Emergency Address registration on that account in accordance with applicable law.

You agree never to publish, advertise, or imply that a Deskwise number can receive emergency calls. You will indemnify Vellor Systems LLC for any loss arising from a caller relying on Deskwise to summon emergency assistance.

10.Intellectual Property

Deskwise, including all software, models, prompts, dashboards, designs, trademarks, and documentation, is and remains the property of Vellor Systems LLC and its licensors. We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service in accordance with these Terms.

You retain all rights to your data (call transcripts, recordings, contacts, appointments, and other Operator content). You grant us a worldwide, royalty-free license to host, copy, transmit, display, and otherwise process your data solely as necessary to provide and improve the Service for you. We do not use your call content to train base large-language models.

11.Stripe Connect & Payments to Operators

Deskwise integrates with Stripe Connect Express so that you can accept payments from your callers (for deposits, invoices, or similar). When you accept payments through Stripe Connect:

  • You are the merchant of record for those transactions. Deskwise is not a party to the transaction between you and your caller.
  • You are solely responsible for chargebacks, refunds, disputes, sales tax, and any other obligation to the caller.
  • Your use of Stripe Connect is subject to Stripe's Connected Account Agreement and Stripe Services Agreement, in addition to these Terms.
  • Deskwise may receive a small platform or application fee where disclosed in your plan. We do not custody, hold, or move funds outside of Stripe.

12.Third-Party Services & Subprocessors

The Service relies on the following third-party processors. By using Deskwise you agree that your data may be processed by these providers under their respective terms:

  • Vapi— voice AI infrastructure
  • Twilio— telephony, SMS, and number provisioning
  • Stripe— payments and Stripe Connect Express
  • Clerk— authentication
  • Supabase(US region) — database hosting
  • Resend— transactional email
  • Vercel(US) — application hosting
  • Anthropic— large language model provider (Claude)
  • OpenAI— speech and fallback large language model, primarily reached through Vapi's voice pipeline
  • Sentry— error monitoring (PHI scrubbed)
  • Plausible Analytics(EU) — cookieless, aggregated marketing-site analytics

We may add, replace, or remove subprocessors over time. The up-to-date list, with data category, region, and DPA links, is at /security/subprocessors.

13.Referral Programs

Deskwise operates two distinct referral mechanics. Both are governed by these Terms.

Affiliate Program (external promoters):

  • Commission: 30% of recurring subscription revenue for 12 months per qualifying paid referral.
  • Payouts: paid via Stripe Connect Expressto the affiliate's connected account, monthly, with a $50 minimum payout. Affiliate is responsible for tax reporting on commissions received.
  • Commissions are void for any referral that is refunded, charged back, or determined by us to be fraudulent or self-referred.
  • You may not engage in spam, paid-search bidding on Deskwise trademarks, false claims, or misleading promotion. We may terminate participation for any abuse.

Customer Referral Program (operator-to-operator):

  • Active Deskwise Operators receive a personal referral link. When another business signs up through that link and becomes a paying customer, both the referring and referred Operators receive a $50 account credit automatically applied to their next Stripe invoice.
  • Credits are non-transferable, non-cashable, and apply only to Deskwise subscription charges. Self-referrals are disallowed and will void the credit.
  • We may pause, modify, or end the customer-referral program at any time with notice via email or the dashboard.

14.Termination

You may cancel your subscription at any time. We may suspend or terminate your account, with or without notice, for (a) material breach of these Terms, (b) non-payment, (c) fraud or suspected fraud, (d) unlawful use, or (e) risk to the Service or other Operators.

For up to 30 days after termination, you may export your data through the dashboard or by request. After that period we may delete your data, subject to longer retention for legal, accounting, and security obligations as described in our Privacy Policy.

15.Disclaimers

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that the AI agent will be accurate in every call, that telephony carriers will deliver every call, or that the Service will be free of bugs.

16.Limitation of Liability

To the maximum extent permitted by law, Deskwise's total aggregate liability arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim. In no event will we be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, or lost data, even if advised of the possibility.

We are not liable for outages, delays, or errors caused by telephony carriers, third-party providers, AI model providers, or other dependencies, or for AI-generated content that you did not catch or correct.

17.Indemnification

You agree to defend, indemnify, and hold harmless Vellor Systems LLC, its affiliates, and its officers, employees, and agents from and against any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from or related to: (a) your misuse of the Service; (b) calls or messages you cause to be sent in violation of the TCPA, CAN-SPAM, state telemarketing or wiretap laws, or other applicable law; (c) your failure to disclose to callers that they are interacting with an AI; (d) your failure to comply with applicable call-recording or consent laws; (e) your violation of these Terms; or (f) any transaction between you and a caller, including refund and chargeback disputes.

18.Governing Law & Disputes

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules.

Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable, then in effect. Arbitration will be seated in Cheyenne, Wyomingor, at Deskwise's option, in your state of principal residence, and may be conducted by telephone, video conference, or document submission where permitted by AAA rules.

Class-action and representative-action waiver. You and Deskwise agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private-attorney-general proceeding.

Small-claims carve-out.Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction, in lieu of arbitration.

Injunctive relief carve-out. Either party may seek injunctive or other equitable relief in court to protect intellectual-property rights, confidential information, or to enforce these Terms, without first proceeding through arbitration.

30-day right to opt out of arbitration. You may opt out of the arbitration and class-waiver provisions of this section by emailing contact@vellor-systems.com with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out does not affect any other provision.

19.Changes to These Terms

We may update these Terms from time to time. We will post the revised version on this page and update the effective date. Material changes will be communicated by email to the address on file at least 30 days before they take effect. Continued use of the Service after the effective date of a change constitutes acceptance of the revised Terms.

20.Boilerplate

Entire agreement.These Terms (together with the Privacy Policy, AI & Recording Disclosure, any Order Form, BAA, or Affiliate Agreement) are the entire agreement between you and Deskwise on the subject and supersede all prior discussions, proposals, and agreements.

Severability. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision. No waiver is effective unless in writing and signed by an authorized representative of Deskwise.

Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms (including in connection with a merger, acquisition, financing, or sale of assets) without restriction.

Force majeure. Neither party is liable for any delay or failure caused by events outside its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, government action, internet or telephony carrier outages, AI-model-provider outages, or other third-party dependencies.

Survival. Sections concerning ownership and intellectual property (§10), disclaimers (§15), limitation of liability (§16), indemnification (§17), governing law and disputes (§18), and this Boilerplate (§20) survive any termination of these Terms.

Notices. Legal notices to Deskwise must be sent in writing to contact@vellor-systems.com and to Vellor Systems LLC, 1603 Capitol Ave, Ste 415 #420901, Cheyenne, WY 82001. Notices to you will be delivered by email to the address on file or posted in the Service.

No service-level agreement. Unless we have signed a separate SLA with you, the Service is offered on a best-effort/commercially-reasonable basis with no uptime guarantee.

Beta features. We may offer experimental, beta, or early-access features. These are provided “as is” with no support, no warranty, and may be modified or discontinued at any time.

Export controls. Deskwise is a US-only service. You represent that you are not located in, and will not access the Service from, any jurisdiction subject to comprehensive U.S. sanctions, and that you are not on any U.S. government denied or restricted-party list.

Government use.The Service and any documentation are “commercial items” as defined in 48 C.F.R. § 2.101 and are licensed to U.S. government end users only as commercial items and with only the rights granted to all other end users.

Headings. Section headings are for convenience only and do not affect interpretation.
